1. Acceptance of These Terms

By purchasing, enrolling in, accessing, or using any Zion Fire Academy online course, program, or content ("Course Content"), you ("Customer" or "you") agree to these Terms & Conditions. If you are purchasing on behalf of a company, you represent that you have authority to bind that company, and "you" includes every individual user you enroll.

If you do not agree, do not purchase or access the Course Content.


2. What You're Buying — a License, Not Ownership

Your purchase grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Course Content for your own professional education.

You do NOT acquire:

License term: Access lasts for the period stated at purchase (e.g., 12 months per course, or the subscription term). Zion may extend access at its discretion but does not guarantee lifetime access.


3. One Seat = One Person


4. Prohibited Uses — No Copying, No Sharing, No Reselling

You shall NOT, during or after your license term:

  1. Copy or capture — record, screen-record, screenshot, download (except materials Zion expressly marks downloadable), scrape, or otherwise reproduce any videos, lessons, slides, quizzes, exams, question banks, worksheets, templates, or checklists, in whole or in part;
  2. Distribute — post, upload, email, share, stream, or transmit any Course Content to any third party, website, file-sharing service, social media, or AI training dataset;
  3. Resell or commercialize — sell, rent, sublicense, or use the Course Content to create, market, or deliver your own training, courses, or consulting materials;
  4. Create derivatives — translate, adapt, or build derivative works from the Course Content;
  5. Circumvent protections — bypass DRM, access controls, watermarks, or paywalls, or use bots/automation to access content;
  6. Misuse credentials — share logins (Section 3) or access another person's account;
  7. Reverse-engineer any Zion platform, tool, or software.

Enforcement: Content is watermarked and usage is logged. Violations result in immediate termination of access without refund, and Zion may pursue injunctive relief, actual damages, and statutory copyright damages. You agree that unauthorized distribution causes Zion irreparable harm for which money alone is inadequate. [COUNSEL — consider a liquidated damages clause per infringing copy/distribution.]

7. Professional Responsibility Disclaimer

Fire protection work is life-safety work. Course Content is general education, not engineering advice, code consulting, or a substitute for: applicable adopted codes and standards as amended by the local Authority Having Jurisdiction (AHJ), manufacturer instructions, listing requirements, or the judgment of appropriately licensed professionals. Always verify requirements with the AHJ of record. Zion is not responsible for how you apply Course Content in the field.


8. Purchases, Payment, and Refunds

  1. Pricing is as shown at checkout and may change for future purchases. Taxes are your responsibility where applicable.
  2. Payment is due in full at purchase (or per the installment/subscription plan selected). Failed subscription payments suspend access after 7 days.
  3. Refunds: Full refund within 7 days of purchase if less than 20% of the course has been accessed. No refunds after 7 days, after 20% consumption, after exam-bank access, or on completed courses. [COUNSEL — confirm refund terms against Texas consumer law and card-network rules.]
  4. B2B/seat packages: refunds apply per-seat under the same rule; unactivated seats are refundable for 30 days.
  5. Chargebacks: Initiating a chargeback while retaining access is a violation of these Terms; access terminates immediately.

11. Disclaimers and Limitation of Liability

  1. AS-IS: Course Content is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  2. Cap: Zion's total liability arising from or related to any course or these Terms is limited to the amount you paid for the specific course giving rise to the claim in the 12 months before the claim.
  3. Excluded damages: No liability for indirect, incidental, consequential, special, or punitive damages, lost profits, or lost data.
  4. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will indemnify and hold harmless Zion Fire Protection, its owners, employees, and instructors from claims, damages, and expenses (including reasonable attorney's fees) arising from your violation of these Terms, your misuse of Course Content, or your field application of what you learned.

14. Privacy

Zion collects account, payment, and course-usage data to operate the Academy, per the Zion Fire Academy Privacy Policy (published separately). [COUNSEL — a privacy policy is required before launch; TDPSA (Texas Data Privacy and Security Act) applies.]


15. General Terms

  1. Governing Law & Venue: Texas law governs. Exclusive venue: state or federal courts in Collin County, Texas. [COUNSEL — consider binding arbitration + class-action waiver for consumer sales.]
  2. Entire Agreement: These Terms plus your order confirmation are the entire agreement for Course Content purchases. For Zion employees, the ZION-ZRPM-OPS-TRAINING-REPAYMENT-AGREEMENT governs instead where the two overlap.
  3. Changes to Terms: Zion may update these Terms prospectively; material changes will be notified via email or platform notice 15 days before taking effect. Continued use = acceptance.
  4. Severability / Waiver / Assignment: Standard — unenforceable provisions are reformed, non-enforcement once is not waiver, you may not assign, Zion may assign to a successor.
  5. Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
  6. Notices: legal@zion.us (or Zion's registered agent) for Zion; your account email for you. [COUNSEL — confirm notice email address.]

16. Acceptance

Acceptance occurs by clickwrap at checkout and again at first course launch: "I have read and agree to the Zion Fire Academy Online Course Terms & Conditions." The platform's acceptance log (identity, timestamp, IP, Terms version) is the record of agreement, valid under the ESIGN Act and Texas UETA.
